Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for a fulltime Interim Project Finance Counsel who can work in the New York Office 4-5 Days Per Week.

Overview
:  A Large Global Financial Institution seeks a temporary Project Finacne In-House Financial Services Counsel to assist on Global Transactions.
Company:  Large Global Financial Institution
Experience:  5+ years as in-house counsel and/or in private practice
Location:  NYC Office (4-5 Days per week)
Responsibilities Include:
Transaction Execution

  • Support end‑to‑end execution of multiple concurrent transactions to ensure a seamless and coordinated client experience.
  • Manage work streams across internal teams (Legal, Risk, Credit,) and external stakeholders (borrower counsel, lenders, advisors).
  • Drive transaction timelines, track documentation status, and flag key issues and risks.
  • Conduct project-level legal due diligence.
  • Support internal credit processes, including risk assessment and evaluation of structural protections.

Commercial Negotiation & Documentation

  • Lead commercial negotiations of key legal documents across all three verticals.
  • Negotiate and review loan agreements, security documentation, intercreditor agreements, direct agreements, commitment letters, and term sheets.
  • Ensure documentation reflects sound risk allocation, commercial objectives, and internal policy requirements.

Client & Pitch Materials

  • Prepare client-facing materials including proposals, term sheets, and transaction updates.
  • Convert complex legal and commercial issues into clear and compelling client communications.

Senior Management Deliverables

  • Lead preparation of materials for senior management discussions, including credit committee memoranda and executive summaries.
  • Synthesize legal and commercial considerations into concise, decision-ready documentation.
  • Ensure accuracy, completeness, and consistency across all approval materials.

Qualifications Include:

  • J.D. degree and active bar membership (New York preferred or eligibility for in‑house counsel registration).
  • 5+ years of experience at a major financial institution or law firm.

Demonstrated expertise with Project Finance, including:

  • Draft term sheets, negotiate commercial terms and review trade agreements for commercial transactions, while working with credit risk and legal and clients internally.
  • Conduct Project level due diligence and ensuring it reflects the right risk application and commercial terms.
  • Excellent negotiation, communication, and stakeholder‑management skills.
  • Ability to thrive in a high‑volume environment while maintaining attention to detail and execution quality.
