To learn more about CIBC, please visit CIBC.com What you’ll be doing As the Senior Manager, Agency Syndication you will be accountable for providing specialized agency services as an independent intermediary between borrowers and lenders participating in syndicated credit facilities arranged by Wholesale or Retail Markets. This role applies solid knowledge of lending products and accepted syndication and loan administration practices in the following regions; Canadian Commercial Banking, Canadian Large Corporate, US Large Corporate or European Large Corporate. You will manage all aspects of administration and monitoring of established credit facilities which includes the input, verification and escalation of any risk elements associated with the portfolio. As a member of the Credit Processing Team, this role participates in process improvement and quality initiatives in order to enhance the quality of client service and increase operational efficiency. Specifically, the PF&I specialist needs to have a good understanding of the overall legal documentation and being in a position to review the borrowing certificates, among others, properly in order to allow funding. In order to do that the person needs to understand the mechanics of the transaction. How you’ll succeed Understand and manage all aspects of a number of assigned project finance accounts, including credit, legal, and compliance issues; Serve as one of the main point of contact for related stakeholders (i.e. sponsors, borrowers, other lenders in the syndicate, and external consultants such as external legal counsel, technical consultant etc.); Perform agent duties that require active communication with related stakeholders; Organize and participate in all-Lender / sponsor calls if required; Coordinate the action of the lenders as agent in accordance with the financing agreements; Provide prompt service to all stakeholders with all work being completed in a timely manner and accurate; Distribute required information and/or reports to each participant; Control conditions precedent, drawdowns and repayments of the assigned transactions; Negotiate and co-ordinate amendment and waiver requests; Coordinate the lenders’ action for amendment, waiver or consent requests; Take prompt action upon request from the participants; Update, discuss, and answer credit and deal-structure related questions from other lenders in the syndicate on a daily basis; Review legal documentation and manage legal due diligence process, direct the work of, and co-ordinate with, appointed external lawyers. Relationship Management – Liaise with borrowers, lenders, external and internal legal counsel, and other business units within the Bank on all activities related to the syndication. Provide guidance – Act as an industry expert in local market funding and operational standards for all loan products and services with the responsibility of offering recommendations and solutions to complex funding issues. Ensure accuracy Manage the flow of funds to mitigate risk to the Bank as agent. Negotiate – Collect revenues on behalf of the Agent and syndicate and distribute them accordingly. On an annual basis, review and recommend/negotiate Agency Fee. Update business processes – Act as an agent for continuous improvement and identify opportunities to improve or enhance processes, procedures and service for clients Manage and lead processes Ensure compliance – For both internal controls and procedures Maintain correct data – Establish and maintain current expert knowledge of the credit agreement to accurately and effectively administer the contractual arrangements while mitigating execution risks inherent in the duties of the Administration Agent. Facilitate closings of new/amended credit facilities to include sign-off on deal structure, setup and population of ledgers, SyndTrak, review flow of funds memorandum with responsibility for mitigating execution risk, co-ordinate Initial advance in accordance with established procedures. Ensure compliance to internal controls and procedures. Who you are You have a University degree / College diploma in Business, Accounting or Finance with 3-5 years of relevant working experience. You have a Solid knowledge of various Lending and Deposit Products and Services You bring strong knowledge of Commercial Credit industry and/or General Banking; knowledge of Branch Operations / Trade finance You give meaning to data. At CIBC, we offer a competitive total rewards package. This role has an expected salary range of $125,000 – $175,000 for the New York, NY market based on experience, qualifications, and location of the position. The successful candidate may be eligible to participate in the relevant business unit’s incentive compensation plan, which also may include a discretionary bonus component.
