Holland & Knight seeks a junior associate to join its dynamic Financial Services Practice. The ideal candidate will have 2-3 years of experience in project finance, including “plain vanilla” project financings, tax equity bridge loans, backleverage financings or pre-NTP financings. Both Lender- and Borrower-side experience acceptable. Candidate should be familiar with drafting credit facilities, depositary accounts agreements, letters of credit and performance and payments bond. Candidate should also be familiar with balance of plant agreements, supply agreements (i.e., transformer supply agreements, module supply agreements, BESS supply agreements, turbine supply agreements and inverter supply agreements) and offtake and tolling agreements. Candidate should have experience drafting and closing security documents (i.e., security agreements, pledge agreements, financing statements and control agreements), NY-law legal opinions, direct agreements/ consents to collateral assignments and reliance letters. Candidate should have experience drafting due diligence reports and preparing bankability analysis on project documents. Excellent academic credentials are required and large regional, national, or international law firm experience is preferred. Strong academic credentials. * The position may be filled in New York, Miami, Dallas, Houston, Austin or Washington, DC. The candidate must reside and be licensed or ready to become licensed to practice law in one of these jurisdictions. In accordance with the New York State Pay Transparency Law, New York City Human Rights Law, the Colorado Equal Pay Act, and the California Pay Transparency Law, the pay range for this position in New York State, New York City, Colorado, and California is $235,000 – $260,000max/yr. This range is specific to these locations and may not be applicable to other locations. An individual’s actual compensation will depend on the individual’s qualifications and experience.
